(NASDAQ: AVNW), the leading expert in microwave networking solutions, today announced that it will report preliminary first quarter of fiscal 2015 financial results at approximately 4:00 p.m. Eastern Time (ET) on Wednesday, December 10, 2014. Concurrently, Aviat announced that it submitted a plan to regain compliance under NASDAQ's Listing Rules related to delayed Form 10-K and Form 10-Q filings.
Aviat Networks will host a conference call at 4:30 p.m. ET on December 10, 2014 to discuss its preliminary financial results for the first quarter of fiscal 2015. Due to issues associated with its year-end financial reporting process, Aviat delayed filing its Annual Report on Form 10-K for the fiscal year ended June 27, 2014, and delayed filing its Quarterly Report on Form 10-Q for its fiscal quarter ended September 26, 2014. The Form 10-Q cannot be filed until the Form 10-K is filed. Under NASDAQ's Listing Rules, Aviat was required to submit a plan to regain compliance with Rule 5250(c)(1), which requires timely filing of periodic financial reports with the Securities and Exchange Commission.
NASDAQ is now evaluating the plan. If the plan is accepted, Aviat can be granted an exception of up to 180 calendar days from the Form 10-K's due date, or until March 24, 2015, to regain compliance.
Aviat is working to complete and file the Form 10-K and the Form 10-Q; given the completion of the forensic audit, Aviat expects to file as promptly as practicable. These filing delays have no immediate effect on the listing or trading of Aviat's common stock on the NASDAQ Global Select Market.
